End-User License Agreement (EULA)

Effective Date: January 1, 2025

This End-User License Agreement ("Agreement") is a legal agreement between you ("User") and RJL Software ("Licensor") for the use of any software application distributed by RJL Software ("Software"). By downloading, installing, or using the Software, you agree to be bound by the terms of this Agreement.

Grant of License

RJL Software grants you a non-exclusive, non-transferable, revocable license to use the Software subject to the following terms:

Freeware products may be used for personal and commercial purposes at no cost.
Shareware products may be evaluated during the trial period. Continued use after the trial period requires the purchase of a license.
You may install the Software on multiple devices owned or controlled by you.

Permitted Use

You may use the Software for personal, educational, and commercial purposes.
You may make backup copies of the Software for archival purposes.
You may distribute unmodified copies of freeware products to others, provided this Agreement is included.

Restrictions

You may not reverse-engineer, decompile, or disassemble the Software.
You may not modify, adapt, or create derivative works based on the Software.
You may not redistribute modified copies of the Software.
You may not sell, rent, lease, or sublicense the Software.
You may not remove or alter any proprietary notices, labels, or marks on the Software.

Intellectual Property

The Software is protected by copyright laws and international treaty provisions. RJL Software retains all intellectual property rights in the Software. This Agreement does not grant you any rights to trademarks or service marks of RJL Software.

Privacy and Data Collection

RJL Software products do not collect, transmit, or store any personal data. No internet connection is required to use any RJL Software product. The Software operates entirely on your local machine.

Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. RJL SOFTWARE DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

Limitation of Liability

IN NO EVENT SHALL RJL SOFTWARE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF RJL SOFTWARE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically if you fail to comply with any of its terms. Upon termination, you must destroy all copies of the Software in your possession.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from this Agreement shall be resolved in the courts of the United States.
